1. Definitions

In these GCP, terms beginning with a capital letter have the following meaning:

  • "Platform": all the sites, mobile applications and APIs operated by Stayinto enabling Travelers to search for and book the Services offered by Partners.

  • "Extranet": the private partner.opidun.com space made available to Partners to manage their account, establishments, rates and bookings.

  • "Traveller": the natural or legal person who makes a booking via the Platform.

  • "Provision" : any accommodation, experience, service or product offered for booking by the Partner via the Platform.

  • "Booking" : any order for a Provision validated by a Traveller via the Platform and confirmed to the Partner.

  • "Commission" : the remuneration due by the Partner to Stayinto in return for the matchmaking services, as defined in the Pricing Conditions.

  • "Partner Content" : all elements (texts, photos,

  • prices, availability, descriptions, cancellation conditions) put online by the Partner or on its behalf.

2. Object

The purpose of the CGP is to define the conditions under which Stayinto:

  1. provides the Partner with access to the Platform and the Extranet to exhibit its Services to an audience of Travelers;

  2. distributes the Partner's Services by highlighting its offers in search results, on editorial pages and, where applicable, in marketing campaigns ;

  3. collects the Bookings made by Travelers and transmits to the Partner the information necessary for their execution;

  4. collects or does not collect the sums due by Travelers, depending on the chosen operating mode (see section 6);

  5. provides Customer Service and analytical tools.

Stayinto acts as a technical intermediary within the meaning of article 6-I-2 of the LCEN and never contracts in its own name the tourist service that is the subject of the Provision: the accommodation, experience or service contract is concluded directly between the Traveller and the Partner.

3. Registration, account and term commitment

3.1. Account creation

Registration is open to legal entities and individuals of legal age carrying on a regularly declared economic activity. The Partner provides accurate, complete and up-to-date information, in particular:

  • company name, legal form, registration number,

  • Head office address, RIB / IBAN,

  • data of an operational contact and a financial contact,

  • proof of local authorization (classification, license, operating permit, etc.).).

Stayinto reserves the right to refuse or suspend an account if the information provided is incomplete, erroneous, or if the Partner's activity contravenes these T&Cs, our Supplier Code of Conduct or applicable regulations.

3.2. Duration

Unless otherwise stipulated in the Order Form, the contract is concluded for an indefinite duration, starting from the first time a Service is put online. Either Party may terminate it at any time subject to 30 days' notice, without prejudice to the liquidation of current Reservations (see section 13).

3.3. Account security

The Partner is solely responsible for the confidentiality of his identifiers and any action carried out from his account. Activation of the two-factor authentication (2FA) is mandatory for administrator accounts. Any suspected compromise should be reported without delay to Contact us.

4. Obligations of the Partner

The Partner undertakes to:

  1. provide Content that is accurate, up-to-date, true to life and respects the rights of third parties (in particular: photographs for which it has the rights, descriptions that are not misleading within the meaning of article L121-1 of the Consumer Code);

  2. guarantee the availability advertised and honor each confirmed Reservation;

  3. respect the prices displayed at the time of Reservation (see section 5 on price parity) ;

  4. respect the conditions for cancellation published and allow the Traveler to exercise his rights;

  5. respond as soon as possible to the Traveler's requests via the Platform's messaging system (target: within 24 hours) ;

  6. compliant with consumer law, tourism law and, where applicable, local rules (tourist tax, register of overnight stays, classification, fire safety, PMR accessibility...) ;

  7. Comply with the regulation on the protection of personal data of Travelers (RGPD), our Partner Charter and the Subcontracting appendix provided for in section 11;

  8. respect our Supplier Code of Conduct, including social, environmental and anti-corruption issues;

  9. not bypass the Platform: any active detour by a Traveler who initiated his request on https://stayinto.com to persuade them to book off the Platform constitutes a breach of contract;

  10. subscribe and maintain insurance policies appropriate to their activity (professional civil liability, multi-risk establishment...).

4.1. Prohibited content

Content is strictly prohibited:

  • mendacious, misleading or defamatory,

  • infringing on the intellectual property rights of a third party,

  • discriminatory, hateful, pornographic, illegal,

  • mentioning an alternative booking channel or direct contact details with the aim of circumventing the Platform.

Stayinto reserves the right to moderate, mask or remove without notice any non-conforming Content.

5. Rates, parity and offers

5.1. Freedom of pricing

The Partner sets freely its public sales prices and fare conditions. Stayinto does not participate in setting the price paid by the Traveler, subject to optional optimization features (see 5.3).

5.2. Rate parity

Unless there is a separate specific contractual commitment (e.g. a "Best Price" program), Stayinto does not impose a tariff parity clause: the Partner remains free to display different tariffs on other channels, in accordance with the European Commission guidelines on vertical restraints and national legislation (particularly French on the loi Macron).

5.3. Promotional offers

The Partner may activate promotions or join special programs (early booker, last minute, Genius equivalent, Mobile Rate, etc.). Each program is governed by particular conditions posted on the Extranet, which the Partner expressly accepts by joining.

6. Reservations and cash flow

6.1. Confirmation

A Reservation is deemed closed between the Traveler and the Partner as soon as it is confirmed in the Extranet or by e-mail. The Partner undertakes to honour this Reservation under the corresponding conditions.

6.2. Payment methods

Depending on the configuration of the establishment and the Booking, two operating modes are possible:

  • Payment at the establishment: the Traveler pays the Partner directly; Stayinto does not collect any sums and only invoices the Partner for the Commission.

  • Online Payments ("Online Payments"): Stayinto

or its payment provider collects the sums due by the Traveler, holds them on a blanket account and pays the Partner the commercial net (gross amount of the Booking minus Commission, any taxes collected, refunded or disputed amounts).

6.3. Transfer

Unless otherwise stipulated, outpayments to Partners occur within 15 working days after the end of the stay, by transfer to the referenced RIB. The Partner is solely responsible for the tax compliance (VAT, tourist tax) of the outpayment received.

6.4. No-shows, cancellations and disputes

The cancellation and no-show conditions published by the Partner apply. In the event of a dispute, Stayinto reserves the right, after instruction, to make a discretionary reimbursement to the Traveler when the evidence demonstrates a serious breach by the Partner (insalubrity, unavailability, substantially different service). The corresponding amount is then deducted from future outpayments.

7. Commissions and billing

7.1. Rates

The applicable Commission rate is shown in the Order Form or in the Current Tariff Conditions, accessible from the Extranet. Any changes are notified to the Partner with reasonable notice (minimum 30 days), accompanied by a right of termination under the conditions of section 13.

.

7.2. Invoice issue

Stayinto issues Commission invoices monthly. They are available in PDF format on the Extranet and sent by e-mail to the Partner's financial contact.

7.3. Payment terms

Commission invoices are payable 30 days end of month, by bank transfer, unless compensation is provided for in section 6.2. In the event of late payment, penalties at the ECB rate plus 10 points and a lump-sum indemnity of €40 for collection costs (article L441-10 of the French Commercial Code) will be applied ipso jure.

8. Reviews and ratings

Travelers can rate and leave a review after their stay.

  • Stayinto moderates reviews to ensure they'are

respect our charter (no illegal, defamatory or off-topic content).

  • The Partner has a right of reply published alongside the notice.
  • Stayinto reserves the right to remove a

opinion that is manifestly fraudulent or does not comply with our charter, upon reasoned referral.

Reviews are never modified or deleted upon simple commercial request from the Partner, in accordance with the requirements of the European P2B regulation (2019/1150) and the French decree on the transparency of online reviews.

9. Customer service and quality

Stayinto provides multilingual Customer Service for Travelers. The Partner undertakes to cooperate with Customer Service and to provide, within a reasonable time, the information necessary to process requests.

The quality indicators (partner no-show rate, dispute rate, responsiveness...) are communicated to the Partner in the Extranet. In the event of significant and persistent deviation from Platform standards, Stayinto may implement a remediation plan or, failing this, suspend the establishment's forwarding.

10. Intellectual property

10.1. On the Partner's Content

The Partner retains ownership of its Content. It grants Opidun and its subcontractors a non-exclusive, worldwide, free, transferable and sublicensable license, for the duration of the contract and 12 months after its termination, for the purposes of distributing, translating, resizing and adapting such Content in the Platform and any associated communication media (newsletters, social networks, media partnerships, etc.).

10.2. On the Platform

All elements of the Platform (software, databases, interfaces, trademarks, logos, editorial content) are the exclusive property of OPIDUN or its licensors. No assignment, license or right of exploitation other than those strictly necessary for the use of the Platform is granted to the Partner.

11. 11. Personal data and outsourcing

12.2. 12.2 Responsibility of Stayinto

13. 13. Duration, suspension and termination

13.1. 13.1 Termination for convenience

Chaque Partie peut résilier le contrat moyennant un préavis de 30 jours notifié par écrit (e‑mail au contact contractuel ou courrier recommandé).

13.2. 13.2 Termination for fault

14. Mediation, applicable law and jurisdiction

These GCP are governed by the droit français.

The Parties shall endeavor to resolve any disputes amicably. Failing agreement within 60 days of the first written notice of dispute, disputes shall be submitted to the exclusive jurisdiction of the courts within the jurisdiction of Paris, unless otherwise mandatorily provided (including rules applicable to asymmetrical B2B relationships).

.

In accordance with Regulation P2B (EU) 2019/1150, the Partner may also refer the matter to an independent mediator appointed by Stayinto, whose contact details are published on the Extranet.

15. Amendments to the CGP

Stayinto may amend these GPC to take account of legal, technical or commercial developments. Any substantial modification shall be notified to the Partner at least 30 days before it comes into effect. Within this period, the Partner may terminate without charge if it refuses the new conditions; otherwise, their tacit acceptance is deemed acquired.

16. Miscellaneous

  • Independence of the Parties: none of these GCP creates a company, mandate, agency or franchise. Each Party acts in its own name and for its own account.

  • Assignment: the Partner may not assign the contract without the prior written agreement of Stayinto. Stayinto may freely assign the contract to any company in the group or in the event of a merger / acquisition.

  • Notifications: unless otherwise stipulated, notifications under the GCP are validly made by e-mail to the address registered in the Extranet.

  • Partial nullity : if a clause is deemed null or unenforceable, the other clauses remain in full force.

  • Tolerance : no tolerance, even repeated, shall be deemed a waiver of a right.
